Ensure that wage and benefit practices for all workers, including top management, are fair, transparent and aligned with equity principles, addressing basic needs and fostering a dignified and sustainable work environment.

Fairly and equitably compensate workers, including top management, based on their skills, roles, and responsibilities, in accordance with applicable legislation, industry standards, and collective labor agreements where applicable.

Respect the maximum number of weekly working hours, overtime limits, and workers’ rest periods in accordance with current legislation and collective labor agreements where applicable.

Defend and respect global principles of freedom of association, respect for diversity and non-discrimination, respect for workers’ rights, prohibition of workplace harassment, child labor, and fair compensation for work.

Condemn the use of child labor, forced labor, and human trafficking in all organizational activities.
Respect and comply with national and international laws related to the minimum age for employment and the prohibition of forced labor, ensuring that no children are exploited for work or that forced labor is imposed on any individual.

Recruitment, Training and Career Progression
Conduct Recruitment, Training and Career Progression practices in an ethical, transparent and equitable manner.

In the recruitment process, promote diversity and inclusion, evaluating candidates based on their qualifications, experience and skills, without discrimination on the grounds of ethnic origin, gender, sexual orientation, religion, age, abilities, or any other characteristic protected by law.

Bribery and influence peddling
Conduct all operations with the highest ethical standards, strongly rejecting corruption, bribery, influence peddling, fraud, money laundering and anti-competitive practices. Reject any form of illicit or unethical conduct that compromises the integrity of our business in compliance with all applicable laws and regulations.

Do not engage in bribery or influence peddling, in any form or by any means, to achieve any outcome, whether lawful or unlawful, aligned or not with the company’s objectives and purpose.

Do not accept, offer, promise or grant bribes or improper advantages to any person, including public officials and representatives of private organizations or other stakeholders. Do not participate in practices aimed at gaining unfair advantages through influence peddling, fraud or any other form of undue manipulation.

 

Money Laundering and Fair Competition
Not to agree with any illicit requests related to money laundering, such as introducing illegally obtained funds into the financial system and/or knowingly or recklessly using such funds in a legitimate transaction, as well as using funds to support criminal activities, including acts of terrorism.

Adopt transparent and rigorous accounting practices to prevent money laundering, ensuring that all financial transactions are legitimate and traceable. Maintain an organizational culture that promotes honesty, transparency and accountability at all levels.

Act fairly and ethically, respecting competition laws and avoiding practices that may harm competition or damage the market’s reputation. Prohibit agreements between competitors to fix revenues or to reduce or stabilize production, logistics activities or their respective capacities.

Establish responsible whistleblowing mechanisms, where any suspicion of illicit activity can be reported without fear of retaliation.

Handle all violations or suspicions of illicit activities related to corruption, bribery, influence peddling, fraud, money laundering, or anti-competitive practices rigorously and, when necessary, report them to the competent authorities.

Procure services and acquire goods lawfully, ensuring fair payment for them.

Act in compliance with applicable legislation and in accordance with international best practices in combating bribery and influence peddling.

Seek to influence our business partners and stakeholders to act in accordance with international best practices in this area.

Do not engage in bribery or influence peddling, in any form or by any means, to achieve any outcome, whether lawful or unlawful, aligned or not with the company’s objectives and purpose.

 

Conflict of interest
Aim to prevent conflicts of interest and make every effort to ensure that contracts include mechanisms for conflict of interest prevention.

Promote impartiality and neutrality in the appointment, hiring, or treatment of any person or entity.

Refrain from participating in decision-making processes involving organizations with which there is direct or indirect collaboration, or individuals or entities with whom there are ties of kinship or affinity.

Establish mechanisms that allow all employees to promptly report any situation that may raise concerns regarding conflicts of interest, without fear of retaliation.

Handle all information related to conflicts of interest with confidentiality, ensuring that the parties involved are treated fairly and that decisions are made with integrity and in the best interests of the organization as a whole.

 

Impartiality
Hire suppliers of goods and services based on competitive and transparent processes, following non-discriminatory rules, including an assessment of their ethical and professional conduct, in addition to commercial conditions and technical skills.

 

Use of privileged information
When in possession of privileged information, do not disclose it to third parties, including family and friends; do not spread false information.

Do not use business information to unlawfully take advantage of business opportunities.

 

Information Security, Transparency and Integrity
Protect information security in all activities, recognizing the critical importance of data confidentiality, integrity and availability.

Implement and maintain mechanisms and procedures that ensure the adequate integrity, confidentiality and availability of information within information systems, with the goal of maintaining credibility and trust, while safeguarding the physical security of systems and the data contained within them.

Maintain accurate and complete information and records and transparently report the company’s performance, in accordance with applicable legal duties and best practices in capital markets.

Comply with legislation and best practices regarding transparency.

Do not engage in any fraudulent schemes involving the handling of funds or assets, nor in the falsification of any documents or information.

Ensure that all records of financial and non-financial indicators are authentic, maintaining the integrity, accuracy, and clarity of information.

 

Confidentiality
All information resulting from the company’s activities is strictly for internal use. Do not share it outside the company, including after leaving the company, any information that we have become aware of as a direct and exclusive result of the position we hold.

 

Privacy and data protection
Strictly comply with the data protection legislation in force and ensure the effectiveness of the rights arising from it.

Ensure that the personal data of all stakeholders is not shared without the consent of the data subjects, except when such consent is not legally required or when the data transmission is mandated by applicable law.

Collect and process stakeholders’ data in accordance with applicable legal standards, acting fairly and transparently.

 

Intellectual property
Ensure strict compliance with intellectual and industrial property rights of our business partners whenever we use them or become aware of them in the course of our duties.

 

Asset protection
Protect the organization’s assets, whether tangible or intangible, and use them in the most efficient way in the organization’s interest, preventing their damage, loss, destruction or misuse. This includes assets related to patents, trademarks, know-how, industrial secrets concerning operations or technology, and copyrights.

 

Research and technology
Conduct all research and development activities ethically, responsibly and in compliance with the highest standards of scientific integrity.

Cooperate with research and development institutions to promote technological development and more sustainable technologies.

Ensure honesty and accuracy at all stages of data collection and analysis and knowledge development, avoiding any form of manipulation, falsification or plagiarism. Respect intellectual property rights and give due credit to those involved in research and development.
